1Acceptance of this agreement

This Terms of Service and Acceptable Use Policy ("Agreement") is a binding contract between you and [COMPANY LEGAL NAME] ("PromptNotes.ai," "we," "us," "our"), governing your registration for and use of an account on promptnotes.ai (the "Site").

By creating an account and checking the acceptance box, you agree to be bound by this Agreement, including the Acceptable Use Policy in Section 5, in addition to the general Terms of Use that apply to all visitors. If you do not agree, do not create an account.

If you are registering on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2Eligibility

You must be at least 18, or the age of legal majority in your jurisdiction, to register. By registering, you confirm this and that your registration information is accurate.

3Account registration and security

4Content you publish; licensing

4.1Ownership

As between you and us, you retain ownership of the prompts, prompt chains, datasets, documentation, and other material you publish ("User Content"), subject to the licenses below.

4.2License to operate the platform

You grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, display, and distribute your User Content solely to operate, promote, and improve the Site.

4.3License to other users

When publishing, you select a license (e.g. MIT, Apache-2.0, another supported open-source license, or "all rights reserved" where the Site permits). That license governs what other users may do with your content. You represent you own or control sufficient rights to grant it.

4.4Public visibility

Content marked public is visible to unregistered visitors under the general Terms of Use. You're responsible for confirming you intend content to be public before publishing.

5Acceptable Use Policy

By signing up, you agree not to use the Site, and not to publish, upload, fork, or distribute any User Content, that is harmful, unethical, illegal, or fraudulent, including anything in the categories below.

5.1 — Illegal content and activity

Content violating applicable law, or facilitating the sale of illegal goods/services or evading law enforcement.

5.2 — Dangerous or harmful content

5.3 — Fraud, deception, and manipulation

Phishing content, scam scripts, fake reviews, fraudulent financial solicitation, deceptive impersonation of real people or brands, disinformation or coordinated inauthentic behavior, election misinformation, or tools to defeat identity-verification/fraud controls.

5.4 — Sexual content involving minors; other severe harms

Any content sexualizing, exploiting, or endangering minors is strictly prohibited, removed immediately, reported to the relevant authority, and results in permanent termination. Human trafficking and non-consensual sexual content are likewise prohibited.

5.5 — Harassment, hate, and privacy

Content that harasses, threatens, or incites violence; promotes hatred based on a protected characteristic; generates non-consensual intimate imagery; doxxes an individual; or facilitates stalking/surveillance of a specific person.

5.6 — Intellectual property

Publishing content you don't own or have rights to; falsely attributing a license; or prompts built to systematically reproduce copyrighted works without authorization.

5.7 — Platform integrity

Spam, vote manipulation, fake-account networks, artificial inflation of stars/forks/downloads; scraping that degrades service or violates posted rate limits; reverse-engineering non-public platform systems.

5.8Reporting violations

Report violations to [email protected] or the in-product "Report" tool. We investigate in good faith, without guaranteeing a particular outcome or timeline.

6Enforcement; moderation; suspension

We may, at our discretion and with or without notice, remove content, suspend or terminate accounts, and report conduct to law enforcement where we reasonably believe this Agreement or the law has been violated.

7Copyright (DMCA) and IP complaints

Send infringement notices to [email protected] with the information required under 17 U.S.C. § 512(c)(3) or your jurisdiction's equivalent. We respond per applicable law, including counter-notice procedures where required.

8Representations and warranties

You represent that you have authority to enter this Agreement, your User Content doesn't violate this Agreement or third-party rights, and you'll comply with applicable law.

9Indemnification

You agree to indemnify and hold harmless [COMPANY LEGAL NAME] and its officers, employees, and agents from claims arising from your User Content, your breach of this Agreement, or your violation of law or third-party rights.

10Disclaimer of warranties

The Site, including all User Content, is provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant User Content is accurate, safe, lawful, or free from harmful outputs when run against an AI model.

11Limitation of liability

To the maximum extent permitted by law, our aggregate liability under this Agreement won't exceed the greater of the amount you paid us in the prior twelve months, or [US$100]. We won't be liable for indirect, incidental, consequential, special, or punitive damages.

12Termination

Either party may terminate at any time. Sections on IP, indemnification, disclaimers, liability limits, and dispute resolution survive termination.

13Dispute resolution; governing law

14Changes to this Agreement
